Role Title: Commercial Counsel, Technology Transactions & Strategic Partnerships

Summary of the role:

In house Legal Transactions General Counsel’s office. In this role, you will be expected to provide accurate, timely, high-quality, solution-focused and commercially minded legal advice across the full range of legal issues encountered by the business.

As part of your duties, you will be responsible for:

Platform Businesses / Technology Transactions:

  • Review, draft, negotiate and close a broad range of technology agreements, such as software licensing, SaaS, hosting, and technology services to support client engagements for EXL’s platform businesses
  • You will become an integral part of a dynamic team providing effective legal support to EXL’s Platform businesses, Strategic Partnerships, enterprise vendor engagements, and other matters handled by the comply with company policies and processes, applicable laws and regulations, including data privacy and security requirements (e.g., GDPR, CCPA/CPRA
  • Work closely with cross-functional teams (e.g., product, sales, operations, technology) to address legal and mitigate risks.
  • Provide strategic and programmatic advice and support on legal and regulatory requirements of technology implementation and usage.
  • Serve as the day-to-day legal point on contractual queries and matters of contract interpretation
  • Assist in the continuous improvement of template agreements for platform businesses for efficient and consistent contract management
  • Collaborate closely with the rest of Legal team to implement company policies, processes, and standards
  • Stay abreast of legal and industry developments relevant to the company’s business, including evolving data privacy and AI laws and regulations.

Enterprise Partnerships / Vendor Agreement

  • Review, draft and negotiate enterprise partnership and vendor agreements to support the needs of the Strategic Partnerships and Technology team
  • Provide strategic and programmatic advice and support on contractual, legal and regulatory requirements and industry standards relevant to the type of partnership and vendor contract
  • Serve as the day-to-day legal point on contractual queries and matters of contract interpretation.
  • Assist in the design of partnership frameworks, templates, and playbooks that enable the team to evaluate and execute deals efficiently while maintaining appropriate risk controls.

Qualifications and experience we consider to be essential for the role:

  • Minimum 3–7 years’ relevant post-qualification experience (PQE), including at least 2 years’ significant experience focused on technology law, complex commercial contracts, and/or strategic partnerships/alliances.
  • Strong candidates will ideally bring a mix of private practice and in-house experience, preferably within a fast-growth or multinational organisation.
  • A proactive self-starter, able to work independently, manage competing priorities, and deliver to deadlines with minimal supervision.
  • Proven ability to manage a high-volume workload while maintaining strong attention to detail and commercial judgement.
  • Strong organisational skills with excellent attention to detail and a high level of accuracy.
  • High degree of professional integrity and discretion when handling confidential and sensitive information.
  • Excellent written and verbal communication skills, with the ability to influence and advise stakeholders at all levels.
  • Comfortable working in a matrixed, cross-functional environment, partnering with teams such as Operations, Finance, Privacy, Information Security, and HR.
  • Strong relationship-building skills, with the ability to collaborate effectively across internal and external stakeholders.
  • Demonstrates accountability, ownership, and a willingness to take on additional responsibility and lead initiatives proactively.

Skills and Personal attributes we would like to have:

  • Intellectual curiosity and interest in AI technology and its applications.
  • Entrepreneurial mindset and comfort with ambiguity.
  • Substantial privacy experience or privacy certification strongly preferred.
  • Experience working in or with regulated industries is a plus.
