Job Overview

We are a well-established downtown Hamilton law firm seeking a detail-oriented and proactive full-time law clerk or paralegal who is eager to work in a dynamic practice with a strong focus on corporate, wills, and real estate matters.

Key Responsibilities

  • Prepare and maintain corporate minute books (both physical and electronic).
  • Draft and file Articles of Incorporation, Articles of Amendment, Amalgamation, and Dissolution.
  • Prepare annual resolutions, director/shareholder resolutions, and organizational documents.
  • Conduct and review corporate profile reports, NUANS searches, and corporate name searches.
  • Assist with corporate reorganizations, share transfers, redemptions, and estate freezes.
  • Prepare closing documentation for share and asset purchase transactions.
  • Draft simple and complex Wills (including dual-Will structures), Powers of Attorney for Property and Personal Care.
  • Assist lawyers in estate planning matters involving corporate shareholdings.

The position includes a very competitive salary commensurate with experience, paid parking, overtime pay, and job security. The ideal candidate will have 4+ years of experience.

This is a great opportunity to seek an increase in pay without having to commute out of town. This position will be primarily office-based, with some flexibility for hybrid work arrangements as appropriate.

Pay: $45,000.00-$55,000.00 per year
