Overview of role:
The Corporate Secretary & Governance Manager leads governance, risk, and compliance functions within the Corporate & Assurance Group. Overseeing enterprise risk, audit, insurance, and legal services, the role ensures robust frameworks for legislative compliance and corporate integrity. As key support to the Board and executives, it drives effective governance, accountability, and continuous improvement across the organisation.
Key Responsibilities:
As our Corporate Secretary & Governance Manager, you’ll be accountable for:
Delivering high-quality governance services to the Board and Committees, including agendas, minutes, policies, charters, delegations, and performance reviews.
Leading frameworks and systems to ensure compliance with legislation, corporate plans, reporting obligations, standards, and certification requirements.
Managing internal audit, insurance, and legal services, providing expert advice on compliance, contracts, and statutory obligations.
Maintaining registers, corporate records, seals, and approvals while ensuring effective processes for conflict of interest, declarations, and document execution.
Leading a multidisciplinary team and provide trusted guidance to the Board, Chair, executives, and staff on governance, risk, and compliance matters.
About you:
Demonstrated expertise in governance, risk, and compliance frameworks, including the ability to lead enterprise risk management, internal audit, and insurance functions.
Proven experience in a Corporate Secretary role, with a strong understanding of statutory obligations, board and committee governance.
Strong legal and regulatory knowledge, including experience providing advice on legislative compliance, contracts, privacy, integrity frameworks, and public sector obligations.
Tertiary qualification in Law, Business, Commerce, Public Administration, or a related field.
Proven ability to work with senior executives and boards, with strong stakeholder engagement and communication skills.
