Key Responsibilities
Legal Affairs and Strategy
- Provide comprehensive legal counsel to the Board, senior leadership, and management across a wide range of matters.
- Proactively identify potential legal risks, collaborating with internal teams to raise awareness and develop strategies for risk mitigation.
- Oversee litigation and manage external counsel relationships.
- Support the CFO with disclosures and financial filings, and work alongside the VPHR on labor and employee matters.
- Advise on business development initiatives, including mergers, acquisitions, and permitting.
Corporate Governance and Compliance
- Offer deep expertise in Canadian and U.S. securities regulations, ensuring compliance with reporting obligations and disclosures.
- Develop and enforce policies that maintain Alamos’ commitment to legal compliance, corporate governance, and industry-specific standards.
- Monitor regulatory changes, assessing their impact on the business and proactively recommending actions to keep Alamos compliant.
- Act as Corporate Secretary for Board meetings, including the Annual General Meeting, and work closely with the Chair of the Corporate Governance & Nominating Committee.
Team Leadership
- Lead a high-performing team of legal and compliance professionals, providing guidance, fostering collaboration, and driving results.
- Oversee resource allocation and budget management to ensure efficient and timely delivery of legal services.
- Serve as a role model and champion of Alamos’ values, reinforcing ethical practices and policies across the organization.
Qualifications
- 20+ years of legal experience with a proven track record of success in a General Counsel, or similar role preferably within a public company,
- Experience within the mining or resource sector.
- Strong knowledge of securities regulations in both Canada and the U.S., with experience managing compliance in a public company environment.
- Exceptional leadership skills, with demonstrable success in building collaborative teams and fostering a results-oriented work culture.
- Excellent communication and negotiation skills, with the ability to navigate complex legal, regulatory, and business issues effectively.
- A member in good standing with a provincial law society.
Location & Travel This role is based in Toronto, Canada, with an expectation to be in the office at least four days per week. Some travel is required to support our North American operations.
