We are seeking a dynamic and detail-oriented Corporate Legal Associate to join our legal team. The ideal candidate will be responsible for providing legal support across a broad range of corporate matters including contracts, compliance, structuring, mergers & acquisitions, and regulatory affairs.
Key Responsibilities:
- Draft, review, and negotiate commercial agreements including MSAs, NDAs, SLAs, vendor/supplier contracts, and investor documents (SHA, SSA, etc.)
- Assist in structuring and executing corporate transactions such as M&A, private equity/venture capital deals, and joint ventures.
- Conduct legal due diligence and prepare reports or red flag summaries for transactions.
- Ensure compliance with applicable corporate laws, SEBI/ROC regulations, FEMA guidelines, and other relevant legal frameworks.
- Support corporate governance activities including board meetings, resolutions, and secretarial documentation.
- Advise internal teams and stakeholders on contract risks, dispute mitigation, and legal strategies.
- Liaise with external counsel, regulatory authorities, and government agencies as required.
- Maintain a centralized repository for legal documents and ensure version control.
Requirements:
- Bachelor's degree in Law (LL.B.) from a recognized university; LL.M. or CS qualification is a plus.
- [2–5] years of experience in corporate legal work (preferably in a law firm ).
- Solid understanding of Companies Act, Contract Act, FEMA, and other relevant regulations.
- Excellent drafting, negotiation, and communication skills.
- Ability to handle multiple assignments simultaneously under tight deadlines.
- Strong attention to detail and ability to work both independently and collaboratively.
Preferred Qualifications:
- Experience with private equity / venture capital transactions or startup ecosystem.
- Exposure to cross-border transactions and international legal frameworks.
- Proficiency in legal research tools (Manupatra, SCC, etc.) and Microsoft Office Suite.
Job Types: Full-time, Permanent
Pay: ₹450,000.00 - ₹600,000.00 per year
