Job Purpose:
To ensure a comprehensive and effective legal service to Heineken Asia Pacific Pte Ltd and all its related companies in the APAC region with the appropriate blend of quality, speed and cost; to protect the resources and interests of the Company and to support the individual businesses in achieving their business objectives.
Key Accountabilities:
Support legal planning and implementation
- Support the delivery of the legal strategy for the Company within the parameters of the global/ regional strategy.
- Provide advice and support to facilitate the operations of the Company.
- Actively create organization-wide awareness of legal implications of all business transactions to ensure that business activities carried out adhere to relevant laws and regulations.
- Adopt and implement digital technology to enhance productivity.
Compliance/ Corporate Governance
- Ensure compliance with the law and regulatory requirements
- Ensure compliance with Heineken policies
- Develop and perform legal training activities
Manage Disputes/ Litigations
- Manage litigation cases involving the Company, including but not limited to briefing external advocates for proper representation in the court, collating information from all sources, and forming arguments.
Business Partnering/ Contract management and documentation
- Support and actively participate and provide inputs and advice in M&A projects.
- Be a trusted business partner to the stakeholders in the Region, Opcos, and Global.
- Structure, advise, negotiate, review and/or draft commercial transactions and legal documents (including but not limited to supply agreements, sponsorship agreements, sales contracts, proposals for contracts, tenders and procurement agreements, memorandums of understanding, letters of appointment, intellectual property agreements and service level agreements) and to ensure that such documents provide appropriate protection for the Company and are legally enforceable.
- Managing external legal counsels and spending.
Trademark Management
- Provide legal advice and guidance in respect of protecting the Company’s innovation and brands and minimizing any legal exposure to claims against the Company for intellectual property infringement.
