Global Legal plays an important role in protecting the Group’s reputation by helping to future-proof the organisation through robust legal risk and issue advisory. Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.
We are currently seeking a high calibre professional to join our team as a Senior Legal Counsel, Markets and Securities Services.
Principal Responsibilities
The role-holder will be part of the legal team that provides legal advice and primarily supports to the Securities Services (SSv) business. A secondary focus of this role will also be to support the Global Markets (GM) business as and when needed.
- Provide legal support primarily in respect of SSv products and initiatives (including digital innovation, and development of digital platforms, services and products), as well as GM products
- Develop and maintain legal and contractual templates
- Liaising with external counsel when necessary and in a cost-effective manner
- Provide legal support to and collaborate with other functions and teams (such as Regulatory Compliance, Risk and Global Legal Services) that support the SSv and GM business
- Participate in and provide legal support for various local and regional projects and initiatives
- Perform Legal function’s role as the second line of defence in the Group’s risk management framework and partnering the SSv and GM business in Singapore in addressing non-legal issues and risks (such as reputational risk and conduct risk)
- Attending and presenting at various risk and fiduciary forums, steering committees, board meetings (as required)
- Liaise on a regular basis across the relevant business areas and functions and with Legal function regionally and globally (as needed)
The SSv business covers:
- Direct Custody and Clearing
- Global Custody
- Investor Services
- Real Estate Investment Trusts
- Trustee and Fiduciary Services
- Fund Services
- The GM business covers
- OTC derivatives transactions and other GM products and initiatives
- Assisting with GM documentation (such as drafting and reviewing ISDA Master Agreements, trade confirmations and product term sheets)
General responsibilities for the role:
- To be the accountable lawyer to the executives of the area on all material legal issues that the business faces
- Execute against relevant policies and procedures for the relevant area of coverage to ensure that Legal's role in the second line of defence can be executed
- Advising relevant Management on non-standard legal, and conduct and reputational risks
- Evaluating and responding to changes in legal and regulatory requirements as they arise
- Provide expert and professional legal advice, guidance and support to ensure that the legal and reputational risk of the relevant area are identified, reported and mitigated
- Identify new legal, regulatory and market developments that can affect business activities, and educate our business teams on how these developments may affect their business
- Ensure senior legal management is fully briefed on major issues arising in relevant business area and major legislative changes in area of expertise
- Maintain and develop positive and professional working relationships with business managers, stakeholders and the Global Legal function
- Recommend selection of panel law firms and other appropriate external parties
- Qualified Lawyer with at least 5 years' relevant experience (in-house and/or private practice)
- Experienced and confident practitioner
- Great sense of ownership and servicing mindset to ensure efficient and effective customer service processes
- Ability to handle a diverse range of issues, deal with new or unexpected situations and work under pressure
- Strong communication skills (both written and verbal) and strong inter-personal skills Excellent negotiation and drafting skills and will have demonstrated the ability to take initiative and apply good commercial and legal judgment
- Up-to-date knowledge of developments in own industry sector
- Lateral thinking/problem solving
- A collaborative teammate, but also a self-starter who is able to work independently with an entrepreneurial drive
